Article 1 (Purpose)
These Terms set out the rights, obligations and responsibilities of INLEVEL9 (인레벨나인, the "Company") and its users, and the conditions of use, for the LEVEL11 software and related services (the "Service"). LEVEL11 is an agentic coding tool in which AI models read and edit code and run commands on the user's own computer, so these Terms deal in particular detail with AI output, agent execution and the handling of user content.
Article 2 (Definitions)
- "LEVEL11" means the desktop agentic IDE software distributed by the Company (macOS, Windows, Linux) and its updates.
- "Account" means a LEVEL11 account created with an e-mail address that lets the user call models through the Company's gateway.
- "Gateway" means the Company's server (
api.level11.co.kr, run on Cloudflare Workers) that relays model calls in account mode and meters usage. - "Model providers" means Anthropic, OpenAI, Google, xAI, Alibaba Cloud and the other providers of AI models the Company relays to through the gateway, and Cloudflare (Workers AI) where it hosts open-weight models.
- "Account mode" means calling models through the gateway; "BYOK" means using LEVEL11 with the user's own API keys connected directly to a model provider; "local model" means connecting to a model server on the user's own computer.
- "Input" means the prompts the user sends to a model, the code and files they attach, rule files, and the results of tools the agent runs (file contents, command output, search results and the like). "Output" means the code, text, commands and tool calls a model generates in response to Input. Input and Output together are "User Content".
- "Agent execution" means LEVEL11 reading and writing files, running shell commands, and operating the browser preview and git on the user's computer according to model Output.
- "Paid plans" means the Pro and Team plans; "free plan" means the Free plan.
- "Included usage" means the monthly model usage (in USD) included in a paid plan's fee; "overage" means model usage beyond it.
- "Beta features" means features the Company labels beta, experimental, preview, early access or similar.
Article 3 (Publication and amendment)
- The Company publishes these Terms on the LEVEL11 website (https://level11.co.kr/en/terms).
- The Company may amend these Terms within the limits of applicable law. Amendments are announced on the website at least 7 days before they take effect, with the effective date and the reason; amendments unfavourable to users are announced at least 30 days in advance and also sent to the account e-mail.
- A user who keeps using the Service after the effective date without objecting is deemed to have accepted the amended Terms. A user who does not accept them may close their account.
- The Korean text of these Terms governs; the English text is a translation for reference. Where they differ, the Korean text prevails.
Article 4 (Accounts)
- An account is created by entering an e-mail address in the LEVEL11 app's settings and entering the one-time code sent to that address. The first sign-in creates a Free account and constitutes acceptance of these Terms and the Privacy Policy. No password is used.
- Persons under 14 may not create an account. Users must be eligible to use the Service under the law of the place where they live, and a person whose account was terminated for breach may not create a new account without the Company's permission.
- Each signed-in device receives a device token stored in the app. The user is responsible for keeping the device and the e-mail inbox secure and for all activity under the account. If a token may have been exposed, the user must sign out or notify contact@inlevel9.com. Signing out revokes that device's token immediately.
- The Company may run sign-ups on an invitation basis or suspend them temporarily for reasons of fraud, abuse or operations.
- One account is for one person. Accounts may not be transferred, lent or shared. Organisation seats for the Team plan are in preparation and will be announced separately.
- A user may close their account at any time by writing to contact@inlevel9.com from the account e-mail. A remaining paid plan is settled under Article 8.
Article 5 (The Service)
- The Company provides:
- the LEVEL11 software and automatic updates;
- account mode: model calls through the gateway, plan limits and usage display, payment;
- downloads, documentation and support on the website.
- LEVEL11 runs models in three ways. BYOK and local models can be used without an account.
- Account mode: Input and Output travel from the app through the Company's gateway to Cloudflare AI Gateway and from there to the model provider the user chose. On this path the Company meters usage and calculates fees.
- BYOK: the app connects directly to a model provider (Anthropic, OpenAI, Google Gemini) with the user's own API key. Nothing passes through the Company's servers, and the Company is not involved in the model calls. The contract and costs with the provider are a matter between the user and that provider.
- Local model: the app connects to a model server on the user's computer (or a server the user designates). Nothing leaves the user's computer.
- Requests in account mode are processed under each provider's API terms, under which, to the Company's knowledge, content sent through the API is not used to train the provider's models. Providers may change their terms; the Company announces material changes it becomes aware of on the website.
- The models, prices and limits included in the Service may change. If a provider retires a model or changes its terms, the Company may offer a replacement or remove that model.
- The Company works to keep the Service available but does not warrant that it will be uninterrupted, error-free or respond within any particular time. Absent a separate agreement the Company has no obligation to provide any particular level of technical support; support is offered within reason through the website's contact form and contact@inlevel9.com.
Article 6 (Plans and fees)
- The plans and fees are as follows; all amounts include VAT.
- Free: no charge. 1,000,000 input tokens and 1,000,000 output tokens a month, 150 requests a day, 2,000,000 tokens a day. The value line of seven models.
- Pro: ₩29,000 a month or ₩290,000 a year. $20 of included usage a month, 3,000 requests a day, a $200 monthly usage cap. All models.
- Team: ₩99,000 a month or ₩990,000 a year. $80 of included usage a month, 20,000 requests a day, a $1,000 monthly usage cap. All models.
- There are only two payment methods: monthly and yearly (prepaid). Monthly plans are billed on the 1st of each month for the previous month's plan fee together with any overage. Yearly plans are charged for the full year when the card is registered and renew automatically on the same terms when the period ends.
- Paid plans renew automatically unless cancelled. The user may cancel at any time in the app's settings.
- Overage is calculated from usage metered at the provider's list price (USD) less the included usage, converted to KRW at a rate set by the Company, and billed on the 1st of the month. The Company adds no margin to overage. When the monthly usage cap is reached, model calls stop for the rest of that month.
- The Company may change its fees. Changed fees are announced on the website and by e-mail at least 30 days before they take effect and do not apply to periods already paid for. A user who does not accept the change may cancel before the effective date.
- Payment is made through Toss Payments with a credit or debit card registered by the user. Card details are held by Toss Payments; the Company keeps only a billing key and a masked card label. The screens and steps Toss Payments provides during checkout are governed by Toss Payments' terms.
- Usage is determined by the gateway's metering records. The user can see today's and this month's usage in the app's settings and on the website's account page, and must raise any dispute about metering with contact@inlevel9.com within 30 days of the invoice date.
Article 7 (Failed payments)
- If a charge to the registered card fails, the Company retries daily and notifies the user.
- If payment has still not succeeded 7 days after the failure, the account is moved to the Free plan. The unpaid amount remains due; when the user registers a card again the charge is retried and the plan restored.
- The Company may restrict account mode if non-payment continues for a substantial period.
Article 8 (Withdrawal and refunds)
- Within 7 days of paying for a paid plan, a user who has not started using models in that billing period may withdraw and receive a full refund (Article 17 of the Act on Consumer Protection in Electronic Commerce). Once at least one model call has been metered, provision of the digital content is deemed to have begun; the Company informs the user of this before payment.
- A yearly payment is refunded in full within 14 days of payment. Overage for that period is settled separately.
- If a yearly plan is cancelled more than 14 days after payment, the Company refunds the amount corresponding to the remaining full months, after deducting from the yearly amount the months already used (including the month in which the plan started) at the monthly price (Pro ₩29,000, Team ₩99,000). No refund is made if the result is zero or less.
- A monthly plan returns to Free immediately on cancellation; fees for months already used and overage are not refunded.
- Refunds go to the card used for payment; the Company requests the cancellation from Toss Payments within 3 business days of deciding on the refund.
- No refund is made where the Company has terminated the account for a breach of these Terms.
- If the Company ends a paid plan for its own reasons (Article 18.3), it refunds the fee for the remainder of any period already paid, pro rata by day.
Article 9 (User Content and licence to process)
- The user owns the Input they write or send to models (code, prompts, rule files, settings, attachments, tool results). The Company claims no ownership of User Content.
- The user grants the Company permission to process User Content only to the extent needed to provide the Service. In account mode this means relaying requests to the model provider, returning responses, metering usage, complying with law and preventing abuse. The Company does not use User Content for any other purpose (advertising, disclosure to other users and the like).
- The Company does not train AI models on User Content and does not make it available to third parties to do so. This does not change unless the user explicitly agrees otherwise in a separate written agreement. The Company currently offers no feature that requests such consent.
- The Company's gateway does not store the content of Input or Output; it records only per-request metadata (model, token counts, cost, time, response status). Cloudflare AI Gateway, however, keeps request and response bodies in its logs for up to 30 days for operations and billing reconciliation. Details are in the Privacy Policy.
- The user must hold the rights needed to send their Input to the Service (copyright, licences, permission under confidentiality obligations and so on). Whether to include other people's code or confidential information in Input is the user's judgement and responsibility. When working with an employer's or client's code, check their policies.
- The user must not put information that the law gives special protection (resident registration numbers, card numbers, bank account numbers, health information, passwords and API keys and the like) into Input in account mode. Such information is better handled with BYOK or a local model.
- The Company may use technical usage data that excludes User Content (request counts, token counts, share of use by model, error rates and the like) to operate and improve the Service, and discloses it externally only in aggregated form that identifies no individual.
Article 10 (AI Output)
- To the extent the Company holds any rights in Output, it assigns them to the user. The Company claims no intellectual property in Output. Whether Output is protected by copyright, and if so who holds it, may differ by jurisdiction.
- Output is machine-generated and has the following limitations, which the user accepts in using the Service.
- It may be wrong, incomplete, use outdated APIs, be insecure or be biased. Models can miss nuance and complex reasoning and can invent functions or libraries that do not exist.
- For the same or similar Input, a model may produce the same or similar Output for other users. The user has no rights in other users' Output and is not guaranteed that their own Output is original.
- Output may resemble public code in the model's training data and may be subject to third-party copyright, open-source licence conditions, patents or trademarks.
- Output may include things, such as shell commands, that have irreversible effects when run.
- The Company does not warrant the accuracy, completeness, originality, non-infringement or fitness for a particular purpose of Output. Output is not a source of truth and is not professional (legal, security, medical or other) advice.
- The user must review Output before using it. Which Output to accept, test and ship is the user's decision and responsibility. The user is responsible for the consequences of using Output (licence violations, security incidents, service outages, data loss, financial loss and the like).
Article 11 (Agent execution and the user's computer)
- LEVEL11 reads and modifies files, runs shell commands, opens the browser preview and operates git on the user's computer according to the user's approvals, allowlist and execution-mode settings such as Builder and Auto-Run. All of this happens on the user's computer with the user's privileges.
- With Auto-Run on, the agent executes commands and file changes contained in Output without asking the user first. A user who turns this on bears all resulting risk, including deleted or overwritten files, wrong commands, requests to external services, costs incurred, security vulnerabilities introduced and data loss. Before using Auto-Run, put the working directory under version control, keep backups and keep the allowlist conservative.
- Checkpoints and revert are conveniences. They do not guarantee recovery of every change, including files outside the workspace, effects of shell commands on external systems and changes not tracked by git. Backups are the user's responsibility.
- The agent may read files inside the workspace the user opened and include them in Input. Which folder to open and which files to attach is the user's decision. Exclude files holding secrets (
.env, key files and the like) through rule files or settings. - Integration credentials the user registers (API keys, tokens) are encrypted with the operating system's secure storage (Keychain on macOS, DPAPI on Windows), stored only on the user's device, and injected into commands the agent runs only as environment variables. The results of work done with those credentials (approving payments, deploying, changing data and the like) are the user's responsibility.
- Commands and changes the agent carries out are deemed permitted by the user to LEVEL11. The Company is not liable for loss caused by commands run or files changed on the user's device, except that it remains liable under Article 20 for loss caused by a defect in the software due to its wilful misconduct or gross negligence.
Article 12 (Usage limits and fair use)
- Each plan has the request, token and monthly usage limits in Article 6. When a limit is reached, model calls stop for that period; the Free plan resets on the 1st of the next month (UTC). The gateway returns an error for requests over the limit and the app shows it to the user.
- Plan limits are set for one person's development work. The Company treats the following as outside fair use and may, after notice (or at the same time as notice in urgent cases), throttle or temporarily suspend account mode:
- calling the gateway from automated scripts or other programs;
- several people sharing one account, or creating several accounts to combine limits;
- sustained high-volume calling that degrades the Service for other users;
- use outside the LEVEL11 app, such as reselling, hosting or relaying the API.
- For the stability and cost control of the Service as a whole, the gateway has a service-wide budget and a maintenance switch. Account mode may be paused when the budget is exhausted or maintenance is needed; the Company posts the status on the website and restores service as quickly as it can. BYOK and local models are unaffected by such pauses.
- If a paid-plan user cannot use account mode for 72 consecutive hours or more for reasons attributable to the Company under clause 2 or 3, the fee for that period is credited pro rata on the next invoice. Restrictions for abuse under clause 2 are not attributable to the Company.
Article 13 (Prohibited conduct)
Users must not:
- sell, lend or share an account or gateway access with third parties, resell the Service, or use it as the basis of a resale service;
- circumvent the plan's request, token, usage or sign-in-code limits, put excessive load on the Service by automated means, or combine limits across several accounts;
- probe or exploit vulnerabilities in the gateway, website or payment flow, or attempt by reverse engineering, decompiling or disassembly to obtain the source code of the software or gateway, provider keys, system prompts or other users' information (except to the extent an open-source licence or the law expressly allows);
- use the Service or Output to extract or replicate models, or to train or develop competing AI models or coding tools;
- use the models to generate content prohibited by the model providers' usage policies;
- infringe the intellectual property, personal data or reputation of others, or use the Service to create or distribute malicious code, phishing material or intrusion tools;
- remove or alter the Service's copyright notices, branding or licence notices;
- crawl or scrape the website or gateway, or run automated means of monitoring the Service without the Company's permission;
- break the law.
On a confirmed breach, the Company may restrict account mode or terminate the account without prior notice, and may claim damages where loss has occurred. A user who becomes aware of unauthorised use of their account must notify the Company at once.
Article 14 (Beta features)
- The Company may release new models, agent modes, tools and integrations first as beta features, labelled as such in the app or documentation.
- Beta features are provided as is and without the stability, support or security assured for finished features. They may change or be withdrawn without notice, and data created with them may not be compatible with the released version.
- A user who uses beta features does so at their own risk, and to the extent permitted by law the Company is not liable for loss arising from them.
- Comments a user sends about beta features are feedback under Article 15.4.
Article 15 (Intellectual property and feedback)
- The Company owns the LEVEL11 software, the gateway, the website, the documentation, the brands (LEVEL11, INLEVEL9, the symbol and the wordmark) and improvements to them. All rights not expressly granted in these Terms are reserved to the Company.
- The Company grants the user a limited, non-exclusive, non-transferable, revocable licence to install and use the software under these Terms. The user may not copy, modify, distribute or resell the software or make derivative works of it (except as the licence of an open-source component allows).
- Open-source components in the software are governed by their own licences, which prevail over these Terms to the extent of any conflict.
- Suggestions, comments, bug reports and feature requests sent to the Company ("feedback") may be used by the Company to improve the Service without compensation or restriction. Where feedback includes User Content, the Company uses that part only as needed to handle the feedback. Do not put confidential information in feedback.
Article 16 (Notice of infringement)
- The Company respects the copyright and other rights of others and handles notices of infringement on the Service under Article 103 of the Copyright Act of Korea and related law.
- Send infringement notices to contact@inlevel9.com with: the notifier's name and contact details; a description of the work infringed; the location or identification of the infringing material; the grounds for believing it infringes and a good-faith statement; a statement that the notice is accurate and that the notifier is the rights holder or their agent; and the notifier's signature.
- On a valid notice the Company may restrict access to or remove the content and may terminate the accounts of repeat infringers. Because User Content is not stored on the Company's servers, a notice about content on a user's computer may be handled by forwarding it to that user.
Article 17 (Third-party services)
- Model providers and Cloudflare. Model calls in account mode depend on the infrastructure of Cloudflare and the model providers. The Company responds reasonably to their outages, policy changes, retirements and latency but does not guarantee the result. The providers' usage policies also apply to requests in account mode.
- BYOK providers and local model servers. The model providers used with BYOK and local model servers (Ollama, llama.cpp, MLX and the like) are third-party software chosen and operated by the user; their terms and costs are a matter between the user and that provider.
- MCP servers and plug-ins. MCP servers, plug-ins and connectors the user adds to LEVEL11 are third-party software governed by their own terms and privacy policies. The same applies to MCP servers the Company lists in its catalogue. Because an MCP server receives data included in the agent's Input and may run on the user's computer, add only servers you trust. The Company makes no warranty about the behaviour, safety or availability of third-party MCP servers.
- Integrations. LEVEL11's integrations (Toss Payments, NICEPAY, PayPle, Cafe24, NHN Cloud, NAVER Cloud, Megazone, Vercel and others) operate with the user's own credentials under the user's contracts with those services. The credentials are stored only on the user's device, and the results of work done with them are the user's responsibility. These integrations do not imply a partnership with or endorsement by those services.
- Payments. Payments are processed by Toss Payments Co., Ltd., and the card registration and checkout screens are governed by its terms. The Company is not liable for payment delays caused by Toss Payments' systems but corrects obvious errors such as duplicate charges once confirmed.
- The Company gives no warranty for third-party services, and loss caused by them is governed by the terms between the user and that third party.
Article 18 (Changes, suspension and termination)
- The Company may add, change or remove features, models and limits of the Service and announces material changes on the website. Beyond the refunds these Terms and the law provide, the Company is not liable for changing or discontinuing any part of the Service. Keep your own copies of your code, sessions and settings.
- The Company may suspend the Service temporarily for maintenance, outages, circumstances of third-party services, force majeure or urgent security reasons, with prior notice except in urgent cases.
- If the Company discontinues the Service or a paid plan, it gives 30 days' notice and refunds the fee for the remainder of any period already paid.
- The user may stop using the Service at any time or close their account under Article 4.6.
- If a user breaches these Terms, the Company may demand correction or, for a material breach (the prohibited conduct in Article 13, payment fraud, harm to others), terminate the account immediately. A user who disputes the Company's action may explain their position to contact@inlevel9.com.
- On termination all device tokens are revoked and the Company deletes the account data under the Privacy Policy, except billing records it must keep by law. Code, sessions and settings on the user's computer are unaffected.
- Provisions that by their nature should survive (Articles 9, 10, 13, 15, 19 to 21 and 23, and provisions on unpaid fees) survive termination.
Article 19 (Disclaimer of warranties)
- To the extent permitted by law the Service and Output are provided "as is" and "as available", and the Company disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement and accuracy.
- The Company does not warrant that the Service will run without interruption or error, that it is secure, or that it will produce any particular result. The behaviour and quality of models supplied by the providers are outside the Company's control.
- Output is an aid, not a source of truth. The user must verify Output before relying on it for any decision.
- Nothing in this Article limits rights given to consumers by mandatory law.
Article 20 (Limitation of liability)
- To the extent permitted by law the Company is not liable for:
- loss caused by the user or by third-party services (model providers, Cloudflare, MCP servers, integrated services, Toss Payments);
- loss arising from the use of Output, from decisions relying on Output, or from Output infringing a third party's rights;
- loss caused by commands the agent ran or files it changed on the user's device, or by Auto-Run;
- data loss (backups are the user's responsibility);
- loss of business, profit or goodwill, or indirect, special, consequential or punitive loss.
- Except in cases of the Company's wilful misconduct or gross negligence, the Company's total liability to a user does not exceed the fees the user paid to the Company in the 12 months before the loss arose. Total liability to a Free-plan user does not exceed ₩100,000.
- Nothing in this Article limits the Company's liability under mandatory consumer-protection law, liability for its wilful misconduct or gross negligence, or liability that cannot be limited by law.
Article 21 (Indemnity by the user)
- The user indemnifies and holds harmless the Company, its officers and employees, and the model providers against third-party claims, suits, loss and costs (including reasonable legal fees) arising from:
- the user's use or misuse of the Service;
- the user's breach of these Terms or the law;
- a claim that the user's Input infringes a third party's intellectual property, personal data or other rights;
- the user's use or distribution of Output, or commands the agent ran on the user's instruction.
- The Company may take over the defence and settlement of such a claim, in which case the user cooperates reasonably.
- For consumers this Article applies only to the extent mandatory law allows.
Article 22 (Export control and sanctions)
- In using the Service the user must comply with the export-control and economic-sanctions laws of the Republic of Korea, the United States and other relevant countries. The user confirms that they are not a sanctioned person and will not use the Service from a sanctioned country or region.
- Where a model provider's usage policy restricts use in particular countries or regions, that restriction also applies to that model in account mode.
- The Company may restrict access from particular regions in order to comply with the law.
Article 23 (Governing law and dispute resolution)
- These Terms and any dispute about the Service are governed by the laws of the Republic of Korea.
- The parties first attempt to resolve disputes by discussion through contact@inlevel9.com or the customer service line. The Company replies within 10 business days of receipt.
- A consumer whose dispute is not resolved by discussion may apply for mediation to the bodies provided by law, such as the Consumer Dispute Mediation Committee of the Korea Consumer Agency or the Electronic Document and Electronic Commerce Dispute Mediation Committee. The Company takes part in such mediation in good faith.
- Where litigation is needed, the Seoul Central District Court has exclusive jurisdiction at first instance, except that for consumers the jurisdiction set by the Civil Procedure Act applies.
Article 24 (Miscellaneous)
- These Terms and the Privacy Policy are the entire agreement between the Company and the user about the Service. Where a separate written agreement exists, such as an organisation agreement for the Team plan, that agreement prevails.
- The user may not assign their rights and obligations under these Terms without the Company's consent. The Company may assign its position under these Terms on a transfer of business, merger or similar, with notice to users.
- If any part of these Terms is invalid or unenforceable, the rest remains in effect.
- The Company's failure to exercise a right under these Terms is not a waiver of it.
- Notices from the Company to users are given by the account e-mail, in-app notices or website announcements; electronic notice has the same effect as written notice.
- Matters not covered by these Terms follow applicable law and commercial practice.
